Public offer (Vehicle rental agreement)

This public offer is an official offer by sole proprietor Таламбуца Анна Валентиновна (the “Lessor”) to any individual or legal entity (the “Lessee”) to enter into an electric vehicle rental service agreement on the terms below.

1. Subject of the agreement

Under this agreement, the Lessor shall provide the Lessee with a vehicle for a fee for temporary possession and use, without driving or technical operation services. The rented vehicle is in good working order and meets the requirements for vehicle operation.

2. Rights and obligations of the parties

The Lessor shall provide the Lessee with the vehicle in a condition consistent with this agreement and its intended function, together with all accessories and related documents. The Lessor may demand termination and compensation for losses if the Lessee uses the vehicle contrary to the rental terms or the vehicle’s intended purpose.

The Lessee shall:

• use the rented vehicle in accordance with this agreement and its intended purpose;
• independently drive the rented vehicle and carry out its commercial and technical operation;
• bear the costs of maintaining and insuring the rented vehicle, including liability insurance, and expenses arising from its operation;
• maintain the vehicle in proper condition throughout the rental term, including routine and major repairs;
• pay rent on time;
• return the vehicle to the Lessor upon termination in the condition in which it was received, allowing for normal wear and tear.

Without the Lessor’s consent, the Lessee may sublet the vehicle under a vehicle rental agreement with or without a crew, and enter into transportation and other agreements with third parties in the Lessee’s own name, provided they do not conflict with the vehicle’s intended purpose.

3. Rent

The Lessee pays rent monthly in advance on the first day of each month. Rent for the first and last payment months, if incomplete, is calculated in proportion to the number of days in the particular calendar month. The Lessee is exempt from rent for the time the vehicle is unusable due to a malfunction, unless the Lessee caused the vehicle to become unusable.

4. Liability of the parties

The Lessor is liable for defects that wholly or partly prevent use of the rented vehicle, even if unaware of them when the agreement was concluded. The Lessor is not liable for defects disclosed at signing, already known to the Lessee, or which the Lessee should have discovered when inspecting or checking the vehicle at signing or handover. The Lessee is liable for damage caused to third parties by the vehicle, its mechanisms, devices or equipment.

5. Early termination of the rental agreement

At the Lessor’s request, this agreement may be terminated early if the Lessee uses the vehicle with a substantial breach of this agreement or its intended purpose, or repeatedly breaches the terms; substantially worsens the vehicle’s condition; fails to pay rent more than twice consecutively after the contractual due date; or fails to carry out major repairs.

At the Lessee’s request, a court may terminate this agreement early if the Lessor does not make the vehicle available or obstructs its use under this agreement or its intended purpose; the vehicle has defects preventing use that were not disclosed at signing, were not known beforehand and should not have been discovered by the Lessee during inspection; or the vehicle becomes unusable due to circumstances for which the Lessee is not responsible.

The parties will try to settle any disputes arising from or relating to this agreement through negotiation; if no agreement is reached, through the courts.

Refund rules

1. Rental refunds

If a rented electric vehicle is returned early, fees are recalculated and refunded in proportion to unused rental days, according to the signed handover certificate.

2. Refund procedure

To request a refund, contact us at +7 (920) 106-07-37. Funds are returned to the same bank card used for payment within 3–10 business days after the refund is agreed.
